Terms & Conditions

1. GENERAL

Vine Aggregate Ltd, T/A Grabco is registered in England and Wales at Companies House (Number: 07204121). We are pleased to accept orders subject to the Terms and Conditions of Sale as stated below. Unless expressly agreed in writing (for the case of a tender) and alteration to these conditions will not apply.

Definitions

Company means Vine Aggregates Ltd (T/A Grabco), registered number 07204121 whose registered office is at Mansell & Co, 5 Ducketts Wharf, South Street, Bishop’s Stortford. CM23 3AR.

Customer means the person or company who contracts for the Services under these Terms and Conditions of the Company.

Goods means the item whether a single item or in bulk, on a Pallet and referred to in the Company’s consignment note.

Pallet means a single item or items carried on a wooden, metal or plastic base, not exceeding 120mm by 1200mm and a height not exceeding 2000mm. The item or items in bulk or any number of small containers must not exceed 1000 kilograms.

Carrier means Vine Aggregates Ltd or a sub-contractor.

2. DELIVERY

a) We will deliver an order within the agreed delivery period, but we cannot be held liable for any loss caused by late delivery. If we do deliver late you are not entitled to regard this as a breach of contract.

b) Goods will be delivered to the delivery address supplied by you at the time of booking. You are considered to have given authority to accept a delivery on your behalf to any person who actually accepts delivery at the delivery address.

c) If we or the goods carrier makes a reasonable attempt to deliver the Customer’s Goods at the delivery address citied at the time of booking, but is unable to do so because there is inadequate access, or no person available at the address, or incorrect delivery information was provided by the Customer, then an additional surcharge will be levied at the prevailing local delivery charge for the Consignment.

d) Delivery points must be accessible to 17.5 tonne and larger vehicles.

e) Customers ordering vehicles off the public roads, do so entirely at their own risk.

f) Redirection – Where the final delivery address does not match the original address entered on the order, a Customer may divert the Goods to a second location by advising the Company in writing and paying any additional charges prior to the final delivery.

g) Re-delivery – Where the first attempt to deliver a pallet, pallets or loose loads fail, a redelivery can be agreed and attempted once an additional wasted journey charge has been paid to cover the cost of the second delivery.

h) You are obliged to provide adequate labour and facilities at the delivery or collection address to unload or load the Goods without undue delay. We will require compensation for any loss we suffer arising from delivery or collection or non-collection of the Goods. If it not our fault, nor that of our carriers, that any delivery or collection is delayed or cannot be carried out then we will charge you for any extra cost incurred.

i) The Carrier will be responsible for delivering to within three metres of the rear and side of the vehicle.

j) The Company is a member of the Road Haulage Association (RHA), and their standard Terms & Conditions also apply.

3. PRICES

All prices are including Value Added Tax (“VAT”).

4. PAYMENT

Payment will be made in full at time of order.

5. FORCE MAJEURE

We reserve the right to cancel an order or suspend or delay delivery of it without being liable for any loss or damage if the supply of goods is prevented or delayed by reason of war (whether declared or not), civil strife, riots, adverse weather conditions, fire, flood, labour disputes, accidents or any other circumstances beyond our control.

6. SHORTAGES, DAMAGES, DISCREPANCIES AND/OR LOSS IN TRANSIT

We will at our discretion refund, replace or issue credit where goods have been lost, wrongly delivered, damaged in transit, or there is a short supply of an order. We will only consider claims if made in writing to us within 3 days of the date of delivery.

7. CANCELLATION

The Customer has the right to cancel the contract and receive a refund from the Company prior to the company performing its services. The Customer must inform the Company in writing if it wishes to cancel within seven working days, starting on the day after the date the Company accepts the service booking. Cancellation requests should be made in writing and must include the Customer’s full name, collection and delivery addresses.

If the Service is cancelled no later than 5 p.m. on the day before the date of collection is booked, then a cancellation fee is payable based on 10% of the total service cost.

8. RETURNS

Due to the nature of this product, returns are not accepted, unless products are received damaged or refused at delivery point. Refer to section 6.

9. PRIVACY

Information provided by the Customer through Top Soil Online Company website is sent to the Company for processing. All personal payment card verification details are handled by Global Payments Merchant Services and are never provided to the Carrier.

10. LAW AND JURISDICTION

These conditions and any act or contract to which they shall apply be governed by English law and subject to the jurisdiction of the English courts (or if the Customer is a consumer, in the local applicable UK courts at the Customer’s discretion.
